JET Software Licence & Product Terms

JET is a TALON+ product. These JET Software Licence and Product Terms apply to the purchase and use of JET and should be read together with the applicable TALON+ Terms of Use and Paddle checkout terms.

If there is any inconsistency between these JET Terms and the TALON+ Terms of Use, these JET Terms prevail to the extent of the inconsistency for matters specifically relating to JET.

Legal entity/operator: TALON PLUS, a Singapore-registered sole proprietorship operating under the TALON+ brand.

Subject to these Terms and successful payment, TALON PLUS, operating under the TALON+ brand, grants the purchasing business a limited, non-exclusive, non-transferable licence to use JET for its internal business purposes. Unless otherwise stated at purchase, the licence is granted for an indefinite period following successful purchase, subject to these Terms and any applicable termination rights.

The licence is granted to the purchasing business, not to an individual employee. Employees and contractors may use JET on the business's behalf. The purchasing business may install or use JET on multiple devices under its control where reasonably necessary for its internal business operations, provided that the software is not shared with or made available to an unrelated business or third party.

You may make reasonable backup copies for your own use. You must not resell, redistribute, sublicense, publish, rent, lease or commercially share the JET software with third parties who have not been licensed to use it. You must not use a single JET licence to provide estimating, quoting or similar software-based services to unrelated third parties. You must not remove proprietary notices or attempt to circumvent technical restrictions.

JET may require activation using a licence key supplied following purchase. Licence verification is performed locally by JET and does not require an internet connection for normal use. Licence keys are issued for the purchasing business and must not be shared with or transferred to an unrelated business. If a licence key is lost or local activation data is lost, TALON+ may require reasonable proof of purchase before reissuing or assisting with activation. Reissued licences remain subject to these Terms.

The licence is non-transferable, except that TALON+ may permit a transfer to a successor entity or purchaser of substantially all of the purchasing business on written request. Future TALON+ products may have their own product-specific licence terms.

Product-specific data handling varies by product. JET stores its business and job data locally in your browser, and TALON+ does not receive or have access to that business/job data through the normal JET architecture.

You are responsible for your own device, browser, local storage and backups. JET includes Export Business Data and Complete JET Reset for this purpose. You should maintain regular backups because clearing browser storage, changing devices, browser privacy settings, storage limits or other local events may result in data loss. TALON+ is not responsible for loss of locally stored JET business data to the extent permitted by law where that loss results from local storage, device, browser or backup failure.

Future TALON+ products may use different storage models, which will be described in their applicable product information and terms.

TALON+ products may provide calculations, recommendations, workflow support or other decision-support features. These features depend on the assumptions, settings and information entered or supplied by the user, and actual results may differ.

For JET specifically, JET provides estimating, pricing and business-decision support. TALON is JET's recommendation engine. It compares estimates with completed-job results, looks for repeatable differences and may recommend measured adjustments when sufficient evidence exists. TALON does not automatically change your pricing. You remain responsible for reviewing and approving any recommendation.

Recommendations are generated from the data and assumptions available to JET and are not guarantees of future job duration, costs, revenue, margins, profitability, pricing accuracy or the likelihood of winning a job. JET does not guarantee that use of the product will increase revenue, improve margins, reduce costs or produce any particular commercial outcome.

JET outputs are estimates and decision-support information only. They should not be treated as verified measurements, quotations, guarantees or professional advice. JET and other TALON+ products are not a substitute for professional accounting, tax, legal, financial, insurance, safety or other regulated professional advice. You remain responsible for the commercial decisions you make using product outputs.

Paddle currently acts as the Merchant of Record / authorised reseller for JET purchases. Under Paddle's current Buyer Terms, the buyer contracts with Paddle for the transaction and the product is made available by TALON PLUS under these supplier/product terms. Paddle handles payment, applicable transaction taxes and its refund process.

For purchases processed through Paddle.com, our order process is conducted by Paddle.com as the Merchant of Record. Paddle handles the applicable customer-service inquiries and returns for those orders.

Your purchase is subject to the Paddle Buyer Terms and Paddle Refund Policy, as applicable. Paddle's current Refund Policy provides country-specific consumer rights. For Singapore consumers, it currently provides a 5-day unconditional right to cancel qualifying digital content or services after delivery or first access and receive a full refund, subject to the applicable policy and law. Those mandatory or non-waivable rights are not restricted by these Terms.

If JET has a material technical defect that prevents it from operating substantially as described, please contact TALON+ support so that we can attempt to resolve the issue. This does not limit any refund, withdrawal or other mandatory rights available under applicable law or Paddle's applicable policies.

Purchase of JET is subject to these JET Software Licence and Product Terms, the applicable TALON+ Terms of Use, and the applicable Paddle Buyer Terms and Refund Policy. The version and effective date applicable to the transaction should be identifiable from the transaction records. Other TALON+ products may use different purchasing arrangements.

TALON+ will provide reasonable product support through the support channel published for the relevant product. Unless we expressly agree otherwise in writing, support is provided on a reasonable-efforts basis and no particular response time, uptime or service level is guaranteed.

For payment, receipt, transaction or refund matters, Paddle may be the appropriate first point of contact because it is the Merchant of Record / authorised reseller for JET.

You are responsible for your use of JET, the information and data you enter into it, and the decisions you make using its outputs. To the maximum extent permitted by law, you agree to indemnify and hold harmless TALON+ from third-party claims, losses and reasonable costs arising directly from your unlawful use of JET, your infringement of a third party's intellectual-property or other rights through materials or data you supply, or your use of JET to provide services to third parties in breach of these Terms. This indemnity does not apply to the extent a claim is caused by TALON+'s own negligence, wilful misconduct or other liability that cannot lawfully be excluded or transferred.

We may suspend or terminate access to JET or terminate a JET licence where reasonably necessary because you materially breach these Terms, misuse JET, attempt to circumvent technical restrictions, or use JET in a way that creates a material legal, security or operational risk to TALON+, JET, other customers or third parties.

Where reasonably practicable, we will give you an opportunity to remedy a material breach before termination. This does not prevent immediate suspension or termination where necessary to address fraud, security threats, unlawful conduct or other circumstances where delay would create material risk.

On termination of a JET licence, you must stop using and distributing the affected copy of JET, except to the extent continued use is required by applicable law. Termination does not by itself require you to delete business data that you own and that is stored locally in your browser. Termination does not affect rights or obligations that accrued before termination.

To the maximum extent permitted by law, TALON+ websites and products are provided on an “as available” and “as is” basis. We do not warrant that calculations, recommendations or other product outputs will be complete, accurate for every business, uninterrupted or suitable for a particular purpose.

Access controls and workflow safeguards. JET features such as the Business Management PIN and discount approval prompts are workflow safeguards intended to reduce accidental or casual unauthorised use. They are implemented within client-side software and are not designed or represented as security controls capable of preventing deliberate circumvention by a person with access to the device or sufficient technical knowledge. You are responsible for controlling access to your devices, browsers and JET software, managing user permissions within your business, and reviewing business decisions and transactions made using JET.

JET does not guarantee any particular business outcome, including increased revenue, improved margins, reduced costs, successful bids, accurate job-duration estimates or profitability.

To the maximum extent permitted by law, TALON+ will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from use of JET. Subject to the mandatory rights and carve-outs below, TALON+'s total aggregate liability arising out of or in connection with JET will not exceed the amount you paid for JET in the 12 months before the event giving rise to the claim. If you obtained JET without paying a licence fee, the aggregate contractual liability cap will be S$100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any other liability that cannot lawfully be excluded or limited. Any contractual limitation of liability is intended to apply only to the extent it is reasonable and enforceable under applicable law.
